With the firm since 2010, Caleb brings enthusiasm and creativity to a broad array of corporate and health law topics, including mergers and acquisitions, governance, employment law, restaurant/brewery and retail issues, and healthcare regulatory compliance.

Outside of the office, Caleb enjoys volunteering in the Kanawha Valley and trail running, hiking, biking, and snowboarding with his wife and daughter in the mountains of West Virginia.

Caleb has routinely acted as outside general counsel to closely held businesses, handling business organizational and relationship issues (e.g. shareholder agreements, operating agreements, buy-sell agreements and management agreements), workforce issues (developing employee handbooks and counseling on employee discipline and termination issues), and commercial transactions. Current and past clients operate in the following industries: construction, health care (post-acute care providers, physician practices and hospitals), manufacturing, and retail/restaurant. In addition, some representative tasks have included the following:

  • Organized numerous corporations, limited liability companies and other forms of business organization, including the drafting of all charter and constitutional documents;
  • Represented multiple professional practices and other businesses in the admission of new partners, as well as the removal of partners;
  • Represented regional banks in the negotiation and preparation of loan and collateral documents;
  • Routinely acted as local counsel to borrowers seeking syndicated financing or borrowing money subject to guarantee from a federal agency and prepared requested opinion documents;
  • Represented multiple critical-access hospitals in the negotiation of construction loans to build replacement hospitals;
  • Represented various health care providers, including hospitals, skilled nursing facilities, rehabilitation centers, and home health providers with regard to certificate of need and licensure matters;
  • Represented public entities and municipalities with regard to employment matters, leasing issues, and other matters;
  • Represented commercial tenants in the negotiation of space-lease terms;
  • Represented an automobile dealership in sale of substantially all of its assets to a new owner;
  • Represented health care facilities and other clients regarding non-competition agreements;
  • Represented physicians in the purchase and sale of professional practices;
  • Represented healthcare clients with regard to HIPAA and other regulatory compliance issues;
  • Represented start-ups and other clients in the filing of trademarks and other intellectual property protections;
  • Represented the buyer in the acquisition of a large number of tenant-occupied warehouse properties; and
  • Represented restaurants and breweries in employment matters, including drafting head brewer and staff employment agreements.
